CGP. H represents that they currently have professional liability insurance in a minimum amount of $1,000,000 per occurrence and $2,000,000 aggregate, and that they shall supply a certificate to the Borough showing said coverage. CGP&H further covenants and agrees to protect, keep and hold the Borough of ▇▇▇▇▇▇▇▇▇▇ harmless against any and all actions, claims or demands for damages, which may be caused by the negligent error, act or omission of CGP&H or by the improper performance of the contract.

CGP. H shall furnish all equipment and materials and shall perform the services set forth in Schedule A, Scope of Services and Compensation. Compensation will be provided as in this Amendment and as awarded in accordance with Compensation Schedule in strict accordance with the contract as the word “contract” is hereinafter defined and in accordance with all other terms and provisions.
CGP. H shall not assign this contract or any of its rights or monies due hereunder without the previous written consent of the Borough of ▇▇▇▇▇▇▇▇▇▇ as evidenced by a duly adopted Resolution.

CGP&H’s appointment as Administrative Agent for the Township shall commence January 1, 2021, to December 31, 2021. From November 1, 2020, to December 31, 2020, CGP&H will coordinate its transition to Township Administrative Agent by coordinating the duties required, pursuant to N.J.A.C. 5:80-26 .17, with the present Administrative Agent for the Township, Bedminster Hills Housing Corporation (“BHHC”). BHHC’s term as Administrative Agent expires December 31, 2020, and will not be renewed.

  • WSIB & LTD An Employee who is receiving benefits under the Workplace Safety and Insurance Act, or under an LTD plan, is not entitled to benefits under a school board’s sick leave and short-term disability plan for the same condition unless the employee is on a graduated return to work program then WSIB/LTD remains the first payor. For clarity, where an employee is receiving partial benefits under WSIB/LTD, they may be entitled to receive benefits under the sick leave plan, subject to the circumstances of the specific situation. During the interim period from the date of the injury/incident or illness to the date of the approval by the WSIB/LTD of the claim, the employee may access sick leave and short-term leave and disability coverage. A reconciliation of sick leave deductions made and payments provided, will be undertaken by the school board once the WSIB/LTD has adjudicated and approved the claim. In the event that the WSIB/LTD does not approve the claim, the school board shall deal with the absence consistent with the terms of the sick leave and short-term leave and disability plans.

  • No Partnership, Etc The Lenders and Borrower intend that the relationship between them shall be solely that of creditor and debtor. Nothing contained in this Agreement, the Notes or in any of the other Credit Facility Documents shall be deemed or construed to create a partnership, tenancy-in-common, joint tenancy, joint venture or co-ownership by or between the Lenders and Borrower or any other Person.
