Common use of CFO Certificate Clause in Contracts

CFO Certificate. On the date of this Agreement and on each Closing Date, as the case may be, the Company shall have furnished to the Underwriters a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its Chief Financial Officer with respect to certain financial data contained in the Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Underwriters.

CFO Certificate. On the date of this Agreement and on each the First Closing Date or the applicable Option Closing Date, as the case may be, the Company shall have furnished to the Underwriters Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its Chief Financial Officer with respect to certain financial data contained in the Disclosure Package Time of Sale Prospectus and the ProspectusProspectus (as applicable), providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the UnderwritersRepresentatives.

CFO Certificate. On the date of this Agreement and on each the Closing Date, as the case may be, the Company shall have furnished to the Underwriters Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its Chief Financial Officer chief financial officer with respect to certain financial data information contained or incorporated by reference in the Disclosure Package Registration Statement, the Time of Sale Information and the Prospectus, providing “management comfort” with respect to such information, substantially in the form and substance reasonably satisfactory to the Underwritersattached as Annex D hereto.

CFO Certificate. On the date of this Agreement and on each the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Underwriters Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its Chief Financial Officer chief financial officer, on behalf of the Company, with respect to certain financial data contained in the Pricing Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the UnderwritersRepresentatives.

On the date of this Agreement and on each the First Closing Date or the applicable Option Closing Date, as the case may be, the Company shall have furnished to the Underwriters Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its Chief Financial Officer chief financial officer, principal financial officer, principal accounting officer, or any such officer in a comparable role as confirmed by the Representatives, with respect to certain financial data contained in the Disclosure Package Time of Sale Prospectus and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the UnderwritersRepresentatives.

CFO Certificate. On the date of this Agreement Agreement, the Company shall have furnished to the Representative a certificate of its chief financial officer with respect to certain financial data contained in the General Disclosure Package and the Offering Memorandum, in the form attached hereto as Exhibit B and on each the Closing DateTime and such Additional Closing Time, as the case may be, the Company shall have furnished to the Underwriters Representative a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, certificate of its Chief Financial Officer with respect to certain chief financial data contained officer confirming the statements made in the Disclosure Package and the Prospectus, providing “management comfort” with respect to such informationcertificate attached hereto as Exhibit B, in form and substance reasonably satisfactory to the UnderwritersRepresentative.

On At the time of the execution of this Agreement and at the Closing Time, the Representatives shall have received a certificate of the Chief Financial Officer of the Company, dated the date of this Agreement and on each the Closing Date, as the case may be, the Company shall have furnished to the Underwriters a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its Chief Financial Officer with respect to certain financial data contained in the Disclosure Package and the Prospectus, providing “management comfort” with respect to such informationTime, in form and substance reasonably satisfactory to counsel for the Underwriters, certifying certain financial information of the Company included or incorporated by reference in the Registration Statement, the Disclosure Package and the Prospectus.

CFO Certificate. On the date of this Agreement and on each the First Closing Date or the applicable Option Closing Date, as the case may be, the Company shall have furnished to the Underwriters Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its Chief Financial Officer with respect to the accuracy of certain financial data contained in the Disclosure Package Time of Sale Prospectus and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the UnderwritersRepresentatives.

CFO Certificate. On the date of this Agreement and on each the First Closing Date or the applicable Option Closing Date, as the case may be, the Company shall have furnished to the Underwriters Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its Chief Financial Officer with respect to certain financial data contained in the Disclosure Package Time of Sale Prospectus and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the UnderwritersRepresentatives.]

On the date of this Agreement and on each the First Closing Date or the applicable Option Closing Date, as the case may be, the Company shall have furnished to the Underwriters Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its Interim Chief Financial Officer with respect to certain financial data contained in the Disclosure Package Time of Sale Prospectus and the ProspectusFinal Offering Documents, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the UnderwritersRepresentatives.
