Common use of Certified Resolutions Clause in Contracts

Certified Resolutions. The Purchaser shall have delivered to the Seller copies of resolutions adopted by the board of directors and the shareholders of the Purchaser authorizing the transactions contemplated by this Agreement, certified in each case as of the Time of Closing by the Secretary or Assistant Secretary of the Seller.

Certified Resolutions. The Purchaser Seller shall have delivered to the Seller received copies of resolutions adopted of the Purchaser, certified by the board Purchaser, authorizing the execution, delivery and performance of directors the Agreement and the shareholders transactions contemplated hereby by the Purchaser, and authorizing the signatory officers of the Purchaser authorizing the transactions contemplated by to execute this Agreement, certified in each case as of the Time of Closing by the Secretary or Assistant Secretary of the Seller.

The Purchaser Seller shall have delivered to the Seller copies received from Purchaser a copy of resolutions duly adopted by the board Purchaser Board authorizing the execution and delivery of directors this Agreement and any other agreement executed and delivered by Purchaser in connection herewith and the shareholders consummation of the Purchaser authorizing the transactions herein and therein contemplated to be consummated by this AgreementPurchaser, certified in each case duly certified, as of the Time of Closing Date, by the Secretary or any Assistant Secretary of the SellerPurchaser.

The Purchaser shall have delivered to received a certified copy of the resolutions of the Board and Shareholders (if necessary) of Seller and Knightview authorizing and approving the execution and delivery of this Agreement and the Seller copies of resolutions adopted by the board of directors Documents and the shareholders consummation of the Purchaser authorizing the transactions contemplated by this Agreement, certified in each case as of the Time of Closing by the Secretary or Assistant Secretary of the SellerTransactions.

The Purchaser Buyer shall have delivered to received a certified copy of the resolutions of the Board of Directors of Seller copies of resolutions adopted by the board of directors and Company authorizing and approving this Agreement and the shareholders consummation of the Purchaser authorizing the transactions contemplated by this Agreement, certified in each case as of the Time of Closing by the Secretary or Assistant Secretary of the Sellerhereby.

The Purchaser shall have delivered to received from the Seller certified copies of all resolutions adopted by the board Board of directors and the shareholders Directors of the Purchaser authorizing Seller necessary in order to authorize the transactions contemplated by purchase of the Acquired Assets pursuant to this Agreement, certified in each case as of the Time of Closing by the Secretary or Assistant Secretary of the Seller.

The Purchaser Representative shall have delivered to the Seller received a certified copies of the resolutions adopted by of the board Board of directors Directors of Buyers authorizing and approving this Agreement and the shareholders consummation of the Purchaser authorizing the transactions contemplated by this Agreement, certified in each case as of the Time of Closing by the Secretary or Assistant Secretary of the Sellerhereby.
