Common use of Certified Resolutions Clause in Contracts

Certified Resolutions. The Borrower shall have furnished to the Lender a copy of resolutions of the Board of Directors of the Borrower authorizing the execution, delivery and performance of this Agreement, the borrowings hereunder, the Notes and all other Loan Documents, which shall have been certified by the Secretary or Assistant Secretary of the Borrower as of the date hereof.

Certified Resolutions. The Borrower shall have furnished to the Lender Bank a copy of resolutions of the Board of Directors of the Borrower authorizing the execution, delivery and performance of this Agreement, the borrowings borrowing hereunder, the Notes Note and all other Loan Documentsthe Documents to which Borrower is party, which shall have been certified by the Secretary or Assistant Secretary of the Borrower as of the date hereofbeing complete, accurate and in effect.

Certified Resolutions. The Borrower shall have furnished to the Lender a copy of resolutions of the Board board of Directors of each of the companies making up the Borrower and the Guarantors authorizing the execution, delivery and performance of this Agreement, the borrowings borrowing hereunder, the Notes and all other Loan Documents, which shall have been certified by the Secretary or Assistant Secretary of the Borrower relevant company as of the date hereof.

The Borrower shall have furnished to the Lender Bank a copy of resolutions of the Board of Directors of the Borrower and the Guarantors authorizing the execution, delivery and performance of this Agreement, the borrowings borrowing hereunder, the Notes Note and all other Loan Documentsthe Documents to which Borrower and/or Guarantors are a party, which shall have been certified by the Secretary or Assistant Secretary of the Borrower or Guarantors, as of the date hereofcase may be, as being complete, accurate and in effect.
