Certified Copies of Organization Documents. The Administrative Agent shall have received from each Borrower, Holdings and each Subsidiary Guarantor a copy, certified as of the Restatement Date by a duly authorized officer of such Person (or its general partner, in the case of SALP), to be true and complete, of each of its certificate of limited partnership, agreement of limited partnership, incorporation documents, by-laws, and/or other organizational documents as in effect on the Restatement Date, along with any other organization documents of any Borrower (and its general partner, in the case of SALP), Holdings or a Subsidiary Guarantor, as the case may be, and each as in effect on the date of such certification.
