Common use of Certified Copies of Charter Documents Clause in Contracts

Certified Copies of Charter Documents. (a) The Administrative Agent shall have received from the Parent, the Borrower and each of the Subsidiary Guarantors a copy, certified by a duly authorized officer of such Person to be true and complete on the Effective Date, of each of (a) its charter or other incorporation or organizational documents as in effect on such date of certification, and (b) its by-laws or other governing documents as in effect on such date.

Certified Copies of Charter Documents. (a) The Administrative Agent shall have received from the Parent, each of the Borrower and each the other members of the Subsidiary Guarantors Borrower Affiliated Group a copy, certified by a duly authorized officer of each of the Borrower and such Person other members of the Borrower Affiliated Group to be true and complete on the Effective Closing Date, of each of (ai) its charter or other incorporation or organizational documents documents, as in effect on such date of certification, certified by the Secretary of State of its jurisdiction of incorporation, and (bii) its by-laws or other governing documents as in effect on such date.

(a) The Administrative Agent Agents shall have received from the Parent, the Borrower and each Subsidiary of the Subsidiary Guarantors Borrower, other than any Excluded Subsidiary, a copycopy of each of (a) its charter or other incorporation documents, certified by the Secretary of State of the jurisdiction of incorporation of such Person, as in effect on such date of certification, and (b) its by-laws, certified by a duly authorized officer of such Person to be true and complete on the Effective Date, of each of (a) its charter or other incorporation or organizational documents as in effect on such date of certification, and (b) its by-laws or other governing documents Closing Date as in effect on such date.. 95 -88-
