Common use of Certified Copies of Charter Documents Clause in Contracts

Certified Copies of Charter Documents. Each Bank or the Agent (in sufficient copies for each Bank) shall have received from each of the Hasbro Companies a copy, each of which shall have been certified by a duly authorized officer of such respective Hasbro Company to be true and complete on and as of the Effective Date, of each of (a) the charter or other incorporation documents of each of the Hasbro Companies in effect on such date of certification, and (b) the by-laws of each of the Hasbro Companies as in effect on such date.

Each Bank or the Agent (in sufficient copies for each Bank) shall have received from each of the Hasbro Companies and Hasbro SA a copy, each of which shall have been certified by a duly authorized officer of such respective Hasbro Company Person to be true and complete on and as of the Effective Date, of each of (a) the charter or other incorporation documents of each of the Hasbro Companies such Person in effect on such date of certification, and (b) the by-laws or equivalent governing document of each of the Hasbro Companies such Person as in effect on such date.
