Common use of Certification by Seller Clause in Contracts

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president and its treasurer or assistant treasurer, certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections 9.1 and 9.3 have been fulfilled.

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president and or its treasurer or assistant treasurerchief financial officer, certifying, in such detail as Buyer and its counsel may reasonably request, that all representations and warranties of Seller made in Article 6 are true and correct as of the Closing Date and that the conditions specified in Sections 9.1 and 9.3 have been fulfilled.

Certification by Seller. Buyer shall have received a certificate, dated as of the Closing Date, signed and verified by the President of Seller's president or vice president and its treasurer or assistant treasurer, certifying, in such detail as Buyer and its counsel reasonably may reasonably request, that the conditions specified in Sections 9.1 Section 8.1, Section 8.2, Section 8.3, and 9.3 Section 8.4 have been fulfilled.

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by SellerXxxxxx's president or vice president and its treasurer or assistant treasurer, certifying, in such detail as Buyer Xxxxx and its counsel may reasonably request, that the conditions specified in Sections 9.1 and 9.3 have been fulfilled.

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by appropriate executive officers of the Seller's president or vice president and its treasurer or assistant treasurer, certifying, in such detail as Buyer and its counsel may reasonably request, certifying that the conditions specified in Sections 9.1 12.2 and 9.3 12.3 have been fulfilled.

Certification by Seller. Buyer Purchaser shall have received a certificate, dated the Closing Date, signed and verified by each Seller's president or vice president and its treasurer or assistant treasurer, certifying, in such detail as Buyer Purchaser and its Purchaser's counsel may reasonably request, that the conditions specified in Sections 9.1 4.2, 4.4, 4.5 and 9.3 4.6 have been fulfilled.

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president and its treasurer or assistant treasurer, chief executive officer and Shareholder certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections Section 9.1 and 9.3 have been fulfilled.

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president an officer of Seller and its treasurer or assistant treasurerS-K-I, respectively, certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections 9.1 9.2 and 9.3 9.4 have been fulfilled.. 9.6

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president an officer of Seller and its treasurer or assistant treasurerS-K-I, respectively, certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections 9.1 9.2 and 9.3 9.4 have been fulfilled.

Certification by Seller. Buyer shall have received a certificate, dated the ----------------------- Closing Date, signed and verified by Seller's president or vice president and its treasurer or assistant treasurer, certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections 9.1 and 9.3 have been fulfilled.

Certification by Seller. Buyer Seller shall have received furnished Purchaser with a certificate, dated the Closing Date, signed and verified by Seller's president or vice president and its treasurer or assistant treasurer, Seller certifying, in such detail as Buyer Purchaser and its counsel may reasonably request, that the conditions specified in Sections 9.1 10.6 and 9.3 10.7 hereof have been fulfilled. Certification is set forth in Exhibit 10.9 attached hereto.

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president and its treasurer or assistant treasurer, certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections 9.1 10.1 and 9.3 10.3 have been fulfilled.

Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president and its treasurer or assistant treasurer, chief financial officer certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections 9.1 Section 9.2 and 9.3 9.4 have been fulfilled.

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president and its treasurer or assistant treasurer, certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections 9.1 Section 9.2 and 9.3 9.4 have been fulfilled.

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president and its treasurer or assistant treasurer, Vice President certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections 9.1 and 9.3 SECTIONS 6.1 AND 6.2 have been fulfilled.

Certification by Seller. Buyer Purchaser shall have received a certificate, dated the Closing Date, signed and verified executed by Seller's president or vice and Holding's president and its treasurer or assistant treasurer, certifying, in such detail as Buyer Purchaser and its counsel may reasonably request, that the conditions specified in Sections 9.1 paragraph 8.1 and 9.3 8.2 have been fulfilled.

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president and its treasurer or assistant treasurermanaging partner, certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections 9.1 and 9.3 have been fulfilled.

Certification by Seller. Buyer shall have received a certificate, dated the Closing Date, signed and verified by Seller's president or vice president and its treasurer or assistant treasurer, an officer of Seller certifying, in such detail as Buyer and its counsel may reasonably request, that the conditions specified in Sections 9.1 8.1 and 9.3 8.3 have been fulfilled.
