Common use of Certification by Collateral Manager Clause in Contracts

Certification by Collateral Manager. Not later than the Cut-Off Date for any Collateral Obligation purchased in accordance with this Section 12.2, the Collateral Manager shall deliver by e-mail or other electronic transmission to the Trustee and the Collateral Administrator an Officer’s certificate of the Collateral Manager certifying that such purchase complies with this Section 12.2 and Section 12.4.

Certification by Collateral Manager. Not later than the Cut-Off Date for any Collateral Obligation purchased in accordance with this Section 12.2, the Collateral Manager shall deliver by e-mail or other electronic transmission to the Collateral Trustee and the Collateral Administrator an Officer’s certificate of the Collateral Manager certifying that such purchase complies with this Section 12.2 and Section 12.4.

Certification by Collateral Manager. Not later than the Cut-Off Date for any Collateral Obligation purchased in accordance with this Section 12.2, the Collateral Manager shall deliver by e-mail or other electronic transmission to the Trustee and the Collateral Administrator an a Responsible Officer’s certificate of the Collateral Manager certifying that such purchase complies with this Section 12.2 and Section 12.4.12.2

Not later than the Cut-Off Settlement Date for any Collateral Obligation purchased in accordance with this Section 12.2, the Collateral Manager shall deliver by e-mail or other electronic transmission to the Trustee and the Collateral Administrator an a Responsible Officer’s certificate of the Collateral Manager certifying that such purchase complies with this Section 12.2 and Section 12.4.12.2

Not later than the Cut-Off Subsequent Delivery Date for any Collateral Obligation purchased acquired in accordance with this Section 12.2, the Collateral Manager shall deliver by e-mail or other electronic transmission to the Trustee and the Collateral Administrator an executed Officer’s certificate of the Collateral Manager certifying that such purchase acquisition complies with this Section 12.2 and Section 12.412.4 or an Issuer Order.

Not later than the Cut-Off Date for any Collateral Obligation purchased in accordance with this Section 12.2, the Collateral Manager shall deliver by e-mail or other electronic transmission to the Trustee and the Collateral Administrator Agent an Officer’s certificate of the Collateral Manager certifying that such purchase complies with this Section 12.2 and Section 12.4; provided that delivery of any trade ticket or Issuer Order will be deemed to be a certification of its compliance with Section 12.2 and Section 12.4 hereunder.

Not later than the Cut-Off Subsequent Delivery Date for any Collateral Obligation purchased in accordance with this Section 12.2, the Collateral Manager shall deliver by e-mail or other electronic transmission (in the form of a manually signed document on the applicable letterhead attached to such email) to the Trustee and the Collateral Administrator an executed Officer’s 's certificate of the Collateral Manager certifying that such purchase complies with this Section 12.2 and Section 12.412.3.

Not later than the Cut-Off Date for any Collateral Obligation purchased in accordance with this Section 12.2, the Collateral Manager shall deliver by e-mail or other electronic transmission to the Trustee and the Collateral Administrator (or shall include in the trade ticket for such purchase) an Officer’s certificate of the Collateral Manager certifying that such purchase complies with this Section 12.2 and Section 12.4.

Not later than the Cut-Off Subsequent Delivery Date for any Collateral Obligation purchased acquired in accordance with this Section 12.2, the Collateral Manager shall deliver by e-mail or other electronic transmission to the Collateral Trustee and the Collateral Administrator an executed Officer’s certificate of the Collateral Manager certifying that such purchase acquisition complies with this Section 12.2 and Section 12.412.4 which certification shall be deemed to be made upon delivery of an Issuer Order or trade ticket with respect to such acquisition.

Not later than the Cut-Off Subsequent Delivery Date for any Collateral Obligation purchased acquired in accordance with this Section 12.2, the Collateral Manager shall deliver by e-mail or other electronic transmission to the Trustee and the Collateral Administrator an executed Officer’s certificate of the Collateral Manager certifying that such purchase acquisition complies with this Section 12.2 and Section 12.412.4 which certification shall be deemed to be made upon delivery of an Issuer Order, a trade ticket, confirmation of trade, instruction to post or to commit to the trade, “SWIFT” messages or similar electronic communication or language with respect to such acquisition.

Not later than the Cut-Off Subsequent Delivery Date for any Collateral Obligation purchased in accordance with this Section 12.2, the Collateral Manager shall deliver by e-mail or other electronic transmission (in the form of a manually signed document on the applicable letterhead attached to such email) to the Trustee and the Collateral Administrator an executed Officer’s 's certificate of the Collateral Manager certifying that such purchase complies with this Section 12.2 and Section 12.412.3 or an Issuer Order.
