Common use of Certificates of Good Standing Clause in Contracts

Certificates of Good Standing. At the Closing, the Company shall have delivered to the Purchaser certificates issued by the appropriate governmental authorities evidencing the good standing of Peoples, Peoples Services and each of their subsidiaries in their respective jurisdictions of incorporation and in each jurisdiction in which each is qualified to do business as a foreign corporation as of a date not more than fifteen (15) days prior to the Closing Date.

Certificates of Good Standing. At the Closing, the Company Corporation shall have delivered to the Purchaser certificates issued by the appropriate governmental authorities Authorities evidencing the good standing standing, with respect to both the conduct of Peoplesbusiness and the payment of all Taxes, Peoples Services of the Corporation and each of their subsidiaries in their respective jurisdictions of incorporation and in each jurisdiction in which each is qualified to do business as a foreign corporation its Subsidiaries as of a date not more than fifteen (15) days prior to the Closing DateDate as a corporation organized under the laws of the state and as a foreign corporation authorized to do business under the laws of the jurisdictions listed in the schedules hereto.

At the Closing, the Company shall have delivered to the Purchaser certificates issued by the appropriate governmental authorities evidencing the good standing of Peoples, Peoples Services the Company and each of their subsidiaries Quality in their respective jurisdictions of incorporation and in each jurisdiction in which each is qualified to do business as a foreign corporation as of a date not more than fifteen (15) days prior to the Closing Date.
