Common use of Certificates Delivered Clause in Contracts

Certificates Delivered. Each of Actava, Orion and MITI ---------------------- shall have delivered to Sterling a certificate executed on its behalf by its President or another authorized executive officer in their corporate capacity to the effect that the conditions set forth in subsections 12.4.1 and 12.4.2 as such conditions apply to such officer's company have been satisfied.
