CERTIFICATE OF THE SELLERS' PRESIDENT. The President of the Sellers shall have delivered to the Purchaser a certificate executed by the President, dated the date of the Closing, certifying in such detail as Purchaser may reasonably request as to (a) the fulfillment and satisfaction of the conditions specified in this Section 5 and (b) the absence of any Material Adverse Effect in the business, assets, properties, liabilities, results of operations, condition (financial or otherwise), cash flows or prospects of the Sellers prior to the Closing.
