Common use of Certificate of Secretary of each Borrower Clause in Contracts

Certificate of Secretary of each Borrower. The Administrative Agent shall have received a certificate of the secretary or assistant secretary of each Borrower certifying as to the incumbency and genuineness of the signature of each officer of such Borrower executing Loan Documents to which it is a party and certifying that attached thereto is a (A) true and complete copy of the articles of incorporation of such Borrower and all amendments thereto, certified as of a recent date by the appropriate Governmental Authority in its jurisdiction of incorporation, (B) a true and complete copy of the bylaws of such Borrower as in effect on the date of such certifications, (C) that attached thereto is a true and complete copy of resolutions duly adopted by the Board of Directors of such Borrower authorizing the borrowings contemplated hereunder and the execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party, and (D) a true and complete copy of each certificate required to be delivered pursuant to Section 6.2(b)(iii);

The Administrative ----------------------------------------- Agent shall have received a certificate of the secretary or assistant secretary of each Borrower certifying certifying, as to the incumbency and genuineness of the signature of each officer of such Borrower executing Loan Documents to which it is a party and certifying applicable, that attached thereto is a (A) true and complete copy of the articles of incorporation or other charter documents of such Borrower and all amendments theretothereto (such charter documents, in the case of each New Subsidiary, shall be certified as of a recent date by the appropriate Governmental Authority in its jurisdiction of incorporation, (B) incorporation for each New Subsidiary); that attached thereto is a true and complete copy of the bylaws of such Borrower as in effect on the date of such certifications, (C) certification; that attached thereto is a true and complete copy of resolutions duly adopted by the Board of Directors of such Borrower Borrower, authorizing the borrowings contemplated hereunder and the execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party, ; and (D) a true as to the incumbency and complete copy genuineness of the signature of each certificate required officer of such Borrower executing Loan Documents to be delivered pursuant to Section 6.2(b)(iii);which such Borrower is a party.
