CERTIFICATE OF LIMITED PARTNERSHIP; PARTNERSHIP AGREEMENT. At the Effective Time, (i) the Certificate of Limited Partnership of the Fund, as in effect immediately prior to the Effective Time, shall be the Certificate of Limited Partnership of the Surviving Partnership until thereafter amended as provided therein or in accordance with the CRLPA, and (ii) the Fund Partnership Agreement (defined below), as in effect immediately prior to the Effective Time, shall be the partnership agreement of the Surviving Partnership until thereafter amended as provided therein or in accordance with the CRLPA. CERTIFICATE OF LIMITED PARTNERSHIP; PARTNERSHIP AGREEMENT. At the Effective Time, (i) the Certificate of Limited Partnership of the FundPartnership, as in effect immediately prior to the Effective Time, shall be the Certificate of Limited Partnership of the Surviving Partnership until thereafter amended as provided therein or in accordance with the CRLPA, and (ii) the Fund Partnership Agreement (defined below), as in effect immediately prior to the Effective Time, shall be the partnership agreement of the Surviving Partnership until thereafter amended as provided therein or in accordance with the CRLPA. At the Effective Time, (i) the Certificate of Limited Partnership of the FundPartnership, as in effect immediately prior to the Effective Time, shall be the Certificate of Limited Partnership of the Surviving Partnership until thereafter amended as provided therein or in accordance with the CRLPA, and (ii) the Fund Partnership Agreement (defined below), as in effect immediately prior to the Effective Time, shall be the partnership agreement of the Surviving Partnership until thereafter amended as provided therein or in accordance with the CRLPA.
