The Sole Member acknowledges that the Certificate of Formation was previously filed with the Secretary of State of Delaware, and agrees to, from time-to-time, take such actions (including publication or periodic filings of any certificate) as may be necessary for the formation or continuation of the Company as a limited liability company under the provisions of the Act and the terms of this Agreement.
