Common use of Certificate of Dissolution Clause in Contracts

Certificate of Dissolution. Upon the dissolution of the Company and the completion of the liquidation and winding up of the Company’s affairs and business, the Member shall on behalf of the Company prepare and file a certificate of dissolution with the Department of State of the Commonwealth of Pennsylvania, as required by Section 8975 of the Act.
