Certen Clause Samples
Certen may (A) assign this Agreement and any of its rights and obligations under this Agreement to any Affiliate of Certen which is a resident of Canada for the purposes of the Income Tax Act (Canada) or (B) amalgamate with any Affiliate of Certen which is a resident of Canada for the purposes of the Income Tax Act (Canada), provided that the assignee or amalgamating corporation (i) is not a material competitor of the BCH Companies; and (ii) executes such documents as the BCH Companies may reasonably require to evidence the assumption or confirmation by the assignee or amalgamating corporation of such obligations under this Agreement. In any such event no such assignment shall relieve Certen from any liability or obligation arising hereunder.

Certen upon written notice to Bell, may assign monies due and to become due to Certen under this Agreement provided that Bell shall be entitled to assert against the assignee thereof all rights, claims and defenses of every type which Bell could assert against Certen, whether acquired prior or subsequent to such assignment.
