Certain UBL Items. Without the prior written consent of IP Delaware and IP Bermuda, the Company shall (i) not alter, amend, waive or modify in any respect the UBL Letter, (ii) effect any Settlement of any UBL Matter, or (iii) enter into any agreement or arrangement with UBL relating to any of the transactions, matters or arrangements specified in the UBL Letter or contemplated thereby.
