Certain Settlement Provisions. The Company shall not, without the Indemnitee’s prior written consent, enter into any settlement of any Proceeding (in whole or in part) where such Indemnitee is a named party unless such settlement (i) provides for a full and final release of all claims asserted against Indemnitee and (ii) does not impose any Expense, Liability or limitation on Indemnitee.
