Certain Licenses and Permits. Without limiting the generality of the obligations set forth in Section 2.1(a), on or prior to the Distribution Date or as soon as reasonably practicable thereafter all transferable licenses, permits and authorizations issued by any Governmental Authority which do not relate primarily to the Media Information Business but which are held in the name of the Corporation or any member of the Media Information Group, or in the name of any employee, officer, director, stockholder or agent of the Corporation or any such member, or otherwise, on behalf of a member of the New Ceridian Group shall be duly and validly transferred or caused to be transferred by the Corporation to the appropriate member of the New Ceridian Group.
