Certain Defined Terms and Construction. (a) Capitalized terms used, but not otherwise defined, in this Schedule D shall have the meanings otherwise given to them in this Agreement for purposes of this Schedule D. If a capitalized term is defined in both this Agreement and in this Schedule D, the meaning assigned to such capitalized term in this Schedule D shall govern for purpose of this Schedule D. The definitions set forth below (i) shall be used only for this Schedule D and not otherwise in connection with this Agreement (unless expressly referenced elsewhere), and (ii) are not intended to, and do not, amend the definitions in this Agreement.
