Common use of Certain Communications Clause in Contracts

Certain Communications. The Company shall provide Purchaser with copies of all letters, memoranda and other correspondence (including the materials to be provided pursuant to Section 2.7(c) and Section 5.14) to be circulated to the employees (including employees which are Stockholders or Option Holders) prior to Closing that describe the transactions contemplated hereby or the Purchaser for its prior review and approval, which review and approval shall not be unreasonably withheld or delayed.

The Company and the Principal Shareholders shall provide Purchaser with copies of all letters, memoranda memorandums and other correspondence (including the materials to be provided pursuant to Section 2.7(c) and Section 5.1411.08) to be circulated to the employees (including employees which are Stockholders Shareholders or Option Holders) prior to Closing that describe the transactions contemplated hereby hereby, the Purchaser or the Purchaser Common Stock for its prior review and approval, which review and approval shall not be unreasonably withheld or delayed.
