Certain Commercial Terms. Reference is made to the Loan and Security Agreement, dated as of August 21, 2024 (as amended, modified, supplemented or restated from time to time, the "Agreement"), by and among BCPC II-J, LLC, as borrower (the "Company"); ▇▇▇▇ Capital Private Credit, as servicer, the Lenders party thereto; Deutsche Bank National Trust Company, in its capacities as collateral agent, collateral administrator, and securities intermediary; and JPMorgan Chase Bank, National Association, as administrative agent for the Lenders thereunder (in such capacity, the "Administrative Agent"). Capitalized terms used but not defined in this Annex A shall have the meanings specified in the Agreement.
