Certain Business Relationships with the Company. Except as set forth in Section 3.16 of the Disclosure Schedule, the Seller and its Affiliates (as hereinafter defined) (a) have not been involved in any business arrangement or relationship with the Company or any Subsidiary within the past 12 months, (b) do not own any asset, tangible or intangible, which is used in the business of the Company or a Subsidiary, other than assets involved in general and administrative activities, and (c) do not owe any amount to, or is owed any amount by, the Company or any Subsidiary.
