Certain Affirmative Actions. Except as Buyer shall otherwise agree in writing, Seller will: (a) carry on the business of the Division in the usual, regular and ordinary course as presently conducted and consistent with past practice, and keep the business of the Division intact; (b) use its best efforts to keep available the services of the Division Employees; (c) use its best efforts to maintain the goodwill associated with the Business, including but not limited to preserving the relationships of customers, suppliers and others having business dealings with the Division; (d) maintain the Purchased Assets in good condition, maintain supplies and inventories related to the Business in quantities consistent with the customary practice of the Division and maintain all of the Proprietary Rights; (e) cause the working capital of the Division to be maintained at a level consistent with past practice; and (f) maintain insurance policies with respect to the Business that are sufficient for material compliance with all requirements of law and of all agreements relating to the Business to which Seller is a party or by which Seller is bound.
