Cell Pro Litigation. In the event that Baxter requires use of the Cell Lines to meet ▇▇▇▇▇▇'▇ performance of certain obligations relating to the CellPro Litigation as set forth in Section 8 of that certain License Agreement of even date herewith with respect to the First BD License Agreement (as defined therein), Newco agrees to make such Cell Lines available to Baxter for such use.
