CAREER EQUITY PROGRAM. The Executive shall be eligible to participate in the Company's Career Equity Program which is currently based on a three year rolling performance cycle with a target long term incentive award opportunity of no less than 30% of Base Salary or in a successor plan or program that provides the Executive with an equivalent opportunity. Executive shall be eligible for pro-rata awards for the performance cycles beginning with the cycle ending with fiscal year 2001 based on meeting the performance goals for such cycles.
