CAPITALIZATION, QUALIFICATION AND LIABILITIES. The Company has no subsidiaries and no investments, directly or indirectly, in any corporation or business organization other than the subsidiaries and certain other investments listed on Schedule 2.4.1. Schedule 2.4.1 correctly sets forth the capitalization of each Subsidiary (as defined in Section 2.4.4), the ownership of the Company or one of its Subsidiaries therein, the jurisdictions in which the Company and its Subsidiaries are organized and each jurisdiction in which the Company and any of its Subsidiaries is required (except where the failure to so qualify would not have an adverse effect on the business, assets, financial condition or results of operations of the Company or its Subsidiaries) to be qualified or licensed to do business as a foreign Person.
