The shares of capital stock of Sub issued and outstanding immediately prior to the Effective Time shall be converted into and become in the aggregate 3,600,000 shares of Common Stock of the Surviving Corporation and 2,000,000 shares of Class A Non-Voting Common Stock of the Surviving Corporation.
