Common use of Capital Actions Clause in Contracts

Capital Actions. The Corporation shall not knowingly take any action that would reasonably be expected to pose a substantial risk that the Purchasers and their affiliates will have beneficial ownership of Common Stock in the aggregate representing in excess of 9.9% of any class of Voting Securities of the Corporation or 24.9% of the total shares of Common Stock outstanding, including undertaking any redemption, recapitalization, or repurchase of Common Stock, of securities or rights, options, or warrants to purchase Common Stock, or securities of any type whatsoever that are, or my become, convertible into or exchangeable into or exercisable for Common Stock.
