Cap Amount. The maximum aggregate amount of indemnification payments that the Indemnified Parties shall be entitled to receive under Section 7.1(a) shall not exceed an amount equal to (i) One Hundred Twenty Thousand Dollars ($120,000) multiplied by (ii) the Allocation Percentage (the “Cap Amount”).
