Common use of Cancellation and Taxes Clause in Contracts

Cancellation and Taxes. This Warrant shall be promptly cancelled by the Company upon the surrender hereof in connection with any exchange, transfer or replacement pursuant to this Section 3. The Company shall pay all taxes and other expenses and charges payable in connection with the preparation, execution and delivery of Warrants pursuant to this Section 3, excluding, however, any thereof imposed on or measured by the overall net income of the Holder of this Warrant or any other Person by any jurisdiction in which such Holder or such other Person is located.
