Common use of Cancellation and/or Adjustment of Global Securities Clause in Contracts

Cancellation and/or Adjustment of Global Securities. At such time as all beneficial interests in a particular Global Security of a series have been exchanged for Definitive Securities of such series or a particular Global Security of a series has been redeemed, repurchased or cancelled in whole and not in part, each such Global Security of such series shall be returned to or retained and cancelled by the Trustee in accordance with Section 2.08. At any time prior to such cancellation, if any beneficial interest in a Global Security of such series is exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such series or for Definitive Securities of such series, the principal amount of Securities of such series represented by such Global Security shall be reduced accordingly and an endorsement may be made on such Global Security by the Trustee or by the Depositary at the direction of the Trustee to reflect such reduction; and if the beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such series, such other Global Security shall be increased accordingly and an endorsement may be made on such Global Security by the Trustee or by the Depositary at the direction of the Trustee to reflect such increase.

At such time as all beneficial interests in a particular Global Security of a series have been exchanged for Definitive Securities of such series or a particular Global Security of a series has been redeemed, repurchased or cancelled in whole and not in part, each such Global Security of such series shall be returned to or retained and cancelled by the Trustee in accordance with Section 2.082.10 of the Indenture. At any time prior to such cancellation, if any beneficial interest in a Global Security of such series is exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such series or for Definitive Securities of such seriesSecurities, the principal amount of Securities of such series represented by such Global Security shall be reduced accordingly and an endorsement may shall be made on such Global Security by the Trustee or by the Depositary at the direction of the Trustee to reflect such reduction; and if the beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such seriesSecurity, such other Global Security shall be increased accordingly and an endorsement may shall be made on such Global Security by the Trustee or by the Depositary at the direction of the Trustee to reflect such increase.

At any time prior to such cancellation, if any beneficial interest in a Global Security of such series is exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such the same series or for Definitive Physical Securities of such the same series, the principal amount of Securities of such series represented by such Global Security shall be reduced accordingly and an endorsement may shall be made on such Global Security by the Trustee Registrar or by the Common Depositary at the direction of the Trustee Registrar to reflect such reduction; and if the beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such seriesSecurity, such other Global Security shall be increased accordingly and an endorsement may shall be made on such Global Security by the Trustee Registrar or by the Common Depositary at the direction of the Trustee Registrar to reflect such increase.

At any time prior to such cancellation, if any beneficial interest in a Global Security of such series is exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such series or for Definitive Securities of such seriesCertificated Exchangeable Debentures, the principal amount of Securities of such series Exchangeable Debentures represented by such Global Security shall be reduced accordingly and an endorsement may shall be made on such Global Security by the Trustee or by the Depositary Depository at the direction of the Trustee to reflect such reduction; and if the beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such seriesSecurity, such other Global Security shall be increased accordingly and an endorsement may shall be made on such Global Security by the Trustee or by the Depositary Depository at the direction of the Trustee to reflect such increase.

Cancellation and/or Adjustment of Global Securities. At any time prior to such cancellation, if any beneficial interest in a Global Security of such series is exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such series or for Definitive Securities of such series, the principal amount of Securities of such series represented by such Global Security shall be reduced accordingly and an endorsement may be made on such Global Security by the Trustee or by the Depositary at the direction of the Trustee to reflect such reduction; and if the beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such series, such other Global Security shall be increased accordingly and an endorsement may be made on such Global Security by the Trustee or by the Depositary at the direction of the Trustee to reflect such increase.

Cancellation and/or Adjustment of Global Securities. At such time as all beneficial interests in a particular Global Security of a series have been exchanged for Definitive Securities of such series or a particular Global Security of a series has been redeemed, repurchased or cancelled canceled in whole and not in part, each such Global Security of such series shall be returned to or retained and cancelled canceled by the Trustee in accordance with Section 2.08‎Section 2.12. At any time prior to such cancellation, if any beneficial interest in a Global Security of such series is exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such series or for Definitive Securities of such seriesSecurities, the principal amount of Securities of such series represented by such Global Security shall will be reduced accordingly and an endorsement may will be made on the “Schedule of Exchanges of Interests in the Global Note” attached to such Global Security and a notation will be made on the records maintained by the Trustee or by the Depositary at the direction of the Trustee to reflect such reduction; and if the beneficial interest is being exchanged for or transferred to a Person who will take delivery thereof in the form of a beneficial interest in another Global Security of such seriesSecurity, such other Global Security shall will be increased accordingly and an endorsement may will be made on the “Schedule of Exchanges of Interests in the Global Note” attached to such Global Security and a notation will be made on the records maintained by the Trustee or by the Depositary at the direction of the Trustee to reflect such increase.

Cancellation and/or Adjustment of Global Securities. At such time --------------------------------------------------- times as all beneficial interests in a particular Global Security of a series have been exchanged for Definitive Physical Securities of such series or a particular Global Security of a series has been redeemed, repurchased or cancelled canceled in whole and not in part, each such Global Security of such series shall be returned to or retained and cancelled canceled by the Trustee in accordance with Section 2.08311 hereof. At any time prior to such cancellation, if any beneficial interest in a Global Security of such series is exchanged for or transferred to a Person person who will take delivery thereof in the form of a beneficial interest in another Global Security of such series or for Definitive Securities of such seriesPhysical Securities, the principal amount of Securities of such series represented by such Global Security shall be reduced accordingly and an endorsement may shall be made on such Global Security Security, by the Trustee or by the Depositary at the direction of the Trustee Trustee, to reflect such reduction; and if the beneficial interest is being exchanged for or transferred to a Person person who will take delivery thereof in the form of a beneficial interest in another Global Security of such seriesSecurity, such other Global Security shall be increased accordingly and an endorsement may shall be made on such Global Security Security, by the Trustee or by the Depositary at the direction of the Trustee Trustee, to reflect such increase.
