Call Purchase Option. To the extent that no Entitling transaction shall take place by the earlier of the two dates – the End Date or the passing of five years from the date of this Agreement, then when reaching the aforementioned date, Gadot shall be entitled to purchase from ▇▇▇▇▇▇▇, all the Options that have matured by that date and which have not yet been sold in consideration for payment of the PUT Price for each option.
Call Purchase Option. At any time during the Term of this Lease, Pacer, or its designee, shall have the option to purchase all of the Facility Assets from the ▇▇▇▇ County Parties. Pacer shall have the right to exercise such option to purchase all of the Facility Assets from the ▇▇▇▇ County Parties option at any time during the Term of this Lease by delivering written notice to the ▇▇▇▇ County Parties of Pacer's election to purchase (or for Pacer's designee to purchase) all of the Facility Assets from the ▇▇▇▇ County Parties not less than thirty (30) days prior to the closing date.
