Calculation Component. The K▇▇▇▇▇▇ Family Members, all of which will receive part of the Transaction Price, either directly (the Telecom Sellers) or indirectly (the other K▇▇▇▇▇▇ Family Members, as the partners of Cielo do Brasil and of Cielo Indústria),hereby expressly acknowledge and agree that the restrictive covenants assumed by the K▇▇▇▇▇▇ Family Members under Section 6 hereto were a relevant component for the calculation of the Transaction Value and of the Transaction Price, which amounts were paid in direct or indirect benefit of all the K▇▇▇▇▇▇ Family Members, upon deposit of the funds in the bank account provided for in Schedule 2.3.3 above, and a fundamental inducement for Buyer to purchase the Telecom Quotas, so no additional compensation shall be due to the K▇▇▇▇▇▇ Family Members for the restrictive covenants undertaken therein.
