Common use of Calamities Clause in Contracts

Calamities. There shall not have occurred and be continuing between the date of this Agreement and the Closing Date (i) any general suspension of, or limitation on prices for or trading in, securities on any United States securities exchange, (ii) a declaration of a banking moratorium or any suspension of payments in respect of banks in the United States, (iii) any limitation by any government or governmental, administrative or regulatory authority or agency, domestic or foreign, or other event that materially and adversely affects the ability of Buyer to consummate the Contemplated Transactions hereby, or (iv) commencement of a war or armed hostilities or other national or international calamity directly involving the United States.

There shall not have occurred and be continuing between the date of this Agreement and the Closing Date (i) any general suspension of, or limitation on prices for or trading in, in securities on any United States securities exchange, (ii) a declaration of a banking moratorium or any suspension of payments in respect of banks in the United States, (iii) any limitation (whether or not mandatory) by any government or governmental, administrative or regulatory authority or agency, domestic or foreign, or other event that materially and adversely affects the ability of Buyer the Purchaser to consummate purchase the Contemplated Transactions herebyWasteco Shares and the Wasteco Common Stock hereunder, or (iv) a commencement of a war or armed hostilities or other national or international calamity directly involving the United States.
