By the Company and Purchaser Sample Clauses

By the Company and Purchaser. From and after Closing, the Company and Purchaser shall defend, indemnify and hold harmless Seller, and its members, successors and assigns, from and against any and all claims, liabilities, taxes, interest, fines, penalties, suits, actions, proceedings, demands, damages, losses, costs and expenses (including reasonable attorneys’ fees and court costs) of every kind and nature arising out of, resulting from, or in connection with all liabilities or obligations of the Company of any kind arising after the Closing or in any manner related to any act, failure to act or omission of the Company from and after the Closing.
