By JT. Gene Logic hereby irrevocably assigns to JT all of its right, title and interest in and to any Patent Rights covering a Product discovered pursuant to the Collaboration. The filing, prosecution and maintenance of such Patent Rights shall be the responsibility of, and at the discretion of, JT. Gene Logic agrees to cooperate with JT, both during and after the term of this Agreement, in the procurement and maintenance of such Patent Rights and to execute, when requested, any other documents deemed necessary by JT to carry out the purpose of this Section 4.4(a); provided, that JT shall reimburse Gene Logic for out-of-pocket expenses incurred by Gene Logic in connection with such cooperation.
By JT. JT represents and warrants to Tularik that it has the right to provide the JT Assays to be supplied hereunder and that it has not previously entered and will not enter during the Screening Period Term into any agreement with a Third Party in conflict with this Agreement.
By JT. JT represents and warrants to Corixa that
(a) it has the full right to enter into and perform JT's obligations under this Agreement; and
(b) the execution, delivery and performance of this Agreement does not conflict with, violate or breach any agreement to which JT is a party.
