By IMI. IMI represents and warrants that:
9.1.1. It has the right and authority to enter into this Agreement, and to fully perform its obligations hereunder; and
9.1.2. This Agreement is a legal and valid obligation binding upon it and enforceable in accordance with its terms.

By IMI. (i) Licensor shall not permit any of the Licensed Patents to be abandoned in any country without IMI first being given an opportunity to assume full responsibility for the continued prosecution and maintenance of same. In the event that Licensor decides not to continue the prosecution or maintenance of a patent application or patent within Licensed Patents in any country, or to permit an allowed patent application to issue without there being a pending patent application with at least the same disclosure and specification claiming priority (directly or indirectly) to such allowed patent application, Licensor shall provide IMI with notice of this decision at least thirty (30) days prior to any lapse, abandonment or issuance thereof.
