By Ethico Sample Clauses

By Ethico. Ethico agrees to indemnify and hold harmless Client and its respective affiliates (which shall include any companies that are owned or controlled by Client), directors, officers, employees, agents, subcontractors and insurers from and against any and all claims, demands, actions, losses, expenses, damages, liabilities, costs (including, without limitation, interest, penalties and reasonable experts’ and attorneys' fees) and judgments, in whatever jurisdiction brought, under either federal or state law, from any and all actions, liabilities, damages, claims or expenses of any kind, including reasonable attorneys’ fees, brought by any third party against Client and which arise from (i) Ethico’s wilful violation of Applicable Law in relation to this Agreement, (ii) claims that Ethico is deliberately infringing or misappropriating any third-party intellectual property rights, or (iii) Ethico’s violation of the Confidentiality section of this Agreement.
