Common use of Buyer Indemnity Deductible Clause in Contracts

Buyer Indemnity Deductible. Except for Share Ownership Claims, the Buyer Indemnified Parties shall not be entitled to indemnification pursuant to this Section 5.2 in respect of a misrepresentation or inaccuracy in, or breach of, a representation or warranty referenced in clause (b) of Section 5.2.1 until the aggregate amount of all Losses suffered, incurred or paid by one or more Buyer Indemnified Parties exceeds $150,000 (the "Buyer Indemnity Deductible") and thereafter to the extent that Losses exceed $150,000.
