A Business Representation clause sets out the statements and assurances a party makes regarding its authority, status, and ability to enter into the agreement. Typically, this clause confirms that the business is duly organized, validly existing, and has the legal power to execute and perform its obligations under the contract. By including these representations, the clause helps ensure that both parties are dealing with legitimate entities and reduces the risk of disputes over authority or capacity to contract.
