Common use of Bulk Application Clause in Contracts

Bulk Application. If uSMART SG or uSMART SG’s agents make a bulk application for uSMART SG’s own account, on uSMART SG’s behalf and/or on behalf of uSMART SG’s other clients, the Client acknowledges and agrees: (a) that such bulk application may be rejected for reasons which are unrelated to the Client and the Client application and neither uSMART SG nor uSMART SG’s agent shall, in absence of fraud, negligence or willful default, be liable to the Client or any other person in consequence of such rejection; and (b) to indemnify uSMART SG if such bulk application is rejected either in circumstances where the representations and warranties have been breached or otherwise because of factors relating to the Client. The Client acknowledges that the Client may also be liable in damages to other persons affected by such breach or other factors.
