Common use of Broker’s or Finder’s Fees Clause in Contracts

Broker’s or Finder’s Fees. Except as set forth on Schedule 3.29, no agent, broker, investment banker, Person or firm acting on behalf of the Company or any stockholder thereof, or under the authority thereof, is or will be entitled to any brokers’ or finders’ fee or any other commission or similar fee directly or indirectly from any of the parties hereto in connection with any of the transactions contemplated hereby.

Broker’s or Finder’s Fees. Except as set forth on Schedule 3.292.25, no agent, broker, investment banker, Person banker or other person or firm acting on behalf of the Company Empress, and/or any of their respective directors, executive officers or any stockholder thereofother representatives, or under the authority thereofof any of them, is or will be entitled to any brokers’ broker's or finders’ finder's fee or any other commission or similar fee fee, directly or indirectly indirectly, from any of the parties hereto in connection with any of the transactions contemplated hereby.

Except as set forth on Schedule 3.292.13, no agent, broker, investment banker, Person person or firm acting on behalf of the Company or any stockholder thereofthe Shareholders is, or under the authority thereofwill be, is or will be entitled to any brokers’ or finders’ fee or any other commission or similar fee directly broker’s or indirectly finder’s fees from any of the parties hereto hereto, or from any person controlling, controlled by or under common control with any of the parties hereto, in connection with any of the transactions contemplated herebyherein.

Except as set forth on Schedule 3.293.28, no agent, broker, investment banker, Person or firm acting on behalf of the Company Stockholders, the Companies or any stockholder thereofof its Affiliates is, or under the authority thereofwill be, is or will be entitled to any commission or brokers’ or finders’ fee fees from any Company or the Purchaser or any other commission or similar fee directly or indirectly from any of the parties hereto their respective Affiliates, in connection with any of the transactions contemplated herebyby this Agreement.

Except as set forth on Schedule 3.294.26, no agent, broker, investment banker, Person or other person or firm acting on behalf of the Company or any stockholder thereof, or under the authority thereof, and its Subsidiaries is or will be entitled to any brokers’ broker's or finders’ finder's fee or any other commission or similar fee directly or indirectly from any of the parties hereto Company or its Subsidiaries in connection with any of the transactions contemplated herebyby this Agreement.

Except as set forth on Schedule 3.293.21 hereto, no agent, broker, investment banker, or other Person or firm acting on behalf of the Company or any stockholder thereof, or under the authority thereof, shareholders of the Company is or will be entitled to any brokers’ broker's or finders’ finder's fee or any other commission or similar fee directly or indirectly from the Company, any Subsidiary or any shareholder of the parties hereto Company in connection with any of the transactions contemplated herebyby this Agreement.

Except as set forth on Schedule 3.296.6, no agent, broker, investment banker, Person person or firm acting on behalf of the Company or any stockholder thereofis, or under the authority thereofwill be, is or will be entitled to any brokers’ or finders’ fee or any other commission or similar fee directly broker’s or indirectly finder’s fees from any of the parties hereto party hereto, or from any Person controlling, controlled by or under common control with any party hereto, in connection with any of the transactions contemplated herebyby this Contribution Agreement.

Except as set forth on Schedule 3.293.04, no agent, broker, investment banker, Person banker or other person or firm acting on behalf of the Company Buyers and/or their directors, executive officers or any stockholder thereofother representatives, or under the authority thereoftheir authority, is or will be entitled to any brokers’ broker's or finders’ finder's fee or any other commission or similar fee fee, directly or indirectly indirectly, from any of the parties hereto Buyers in connection with any the negotiations leading to this Agreement or the consummation of the transactions contemplated hereby.

Broker’s or Finder’s Fees. Except as set forth on Schedule 3.29in Section 4.25 of the Company Disclosure Letter, no agent, broker, investment banker, banker or other Person or firm acting on behalf of the Company Seller or any stockholder thereofa Target Company, or under the authority thereof, is or will be entitled to any brokers’ or finders’ fee or any other commission or similar fee directly or indirectly from any of the parties hereto in connection with any of the transactions contemplated hereby.. 50

Except as set forth on Schedule 3.292.26, no agent, broker, investment banker, Person banker or other person or firm acting on behalf of the Company or any stockholder thereof, or under the authority thereof, and its Subsidiaries is or will be entitled to any brokers’ broker's or finders’ finder's fee or any other commission or similar fee directly or indirectly from any of the parties hereto Company or its Subsidiaries in connection with any of the transactions contemplated herebyby this Agreement.

Broker’s or Finder’s Fees. Except as set forth on Schedule 3.293.13, no agent, broker, investment banker, banker or other Person or firm acting on behalf of the Company Seller, its Affiliates or any stockholder thereofof their respective directors or officers, or under the authority thereofof any of them, is or will be entitled to any brokers’ broker’s or finders’ finder’s fee or any other commission or similar fee fee, directly or indirectly from any of the parties hereto indirectly, in connection with any of the transactions contemplated hereby. Neither the Company nor the Subsidiaries is or shall be responsible for any such fee or commission due to the persons set forth on Schedule 3.13.

Except as set forth on Schedule 3.292.18, no agent, broker, investment banker, Person person or firm acting on behalf of Contributor, the Company or any stockholder thereofof their respective Affiliates is, or under the authority thereofwill be, is or will be entitled to any brokers’ or finders’ fee or any other commission or similar fee directly broker’s or indirectly finder’s fees from any of the parties hereto Parties or from any Affiliate of any of the Parties hereto, in connection with any of the transactions contemplated herebyby this Agreement.

Except as set forth on Schedule 3.292.27, no agent, broker, investment banker, Person banker or other person or firm acting on behalf of Bridgeware, the Company Sellers, and/or any of their respective directors, executive officers or any stockholder thereofother representatives, or under the authority thereofof any of them, is or will be entitled to any brokers’ broker's or finders’ finder's fee or any other commission or similar fee fee, directly or indirectly indirectly, from any of the parties hereto in connection with any of the transactions contemplated hereby.

Except as set forth on Schedule 3.294.7, no agent, broker, investment banker, Person person or firm acting on behalf of the Company or any stockholder thereofit is, or under the authority thereofwill be, is or will be entitled to any brokers’ or finders’ fee or any other commission or similar fee directly broker’s or indirectly finder’s fees from any party hereto, or from any Affiliate (as defined in the Operating Agreement) of the parties hereto any party hereto, in connection with any of the transactions contemplated herebyby this Contribution Agreement.

Except as set forth on Schedule 3.295.6, no agent, broker, investment banker, firm or other Person or firm acting on behalf of the Company any Buyer (or any stockholder Affiliate thereof) is, or under the authority thereofwill be, is or will be entitled to any brokers’ investment banking, commission, broker’s or finders’ fee or any other commission or similar fee directly or indirectly finder’s fees from any of the parties hereto for which Seller (or Affiliate thereof) would be responsible to pay in connection with any of the transactions contemplated herebyby this Agreement.

Except as set forth disclosed on Schedule 3.29, 4.25 no agent, broker, investment banker, Person or firm acting on behalf of the Company or any stockholder thereofCompany, or under the authority thereof, is or will be entitled to any brokers’ or finders’ fee or any other commission or similar fee directly or indirectly from any of the parties hereto in connection with any of the transactions contemplated hereby.

Except as set forth on Schedule 3.293.24, no agent, broker, investment banker, Person or firm acting on behalf of the Company Purchaser or any stockholder thereofof its Affiliates is, or under the authority thereofwill be, is or will be entitled to any commission or brokers’ or finders’ fee fees from the Seller, the Purchaser or any other commission or similar fee directly or indirectly from any of the parties hereto their Affiliates, in connection with any of the transactions contemplated herebyby this Agreement.

Except as set forth on Schedule 3.293.17, no agent, broker, investment banker, Person person or firm acting on behalf of the any Contributor, any Company or any stockholder thereofof their respective Affiliates is, or under the authority thereofwill be, is or will be entitled to any brokers’ or finders’ fee or any other commission or similar fee directly broker’s or indirectly finder’s fees from any of the parties hereto Parties or from any Affiliate of any of the Parties hereto, in connection with any of the transactions contemplated herebyby this Agreement.

Except as set forth on Schedule 3.293.20 hereto, no agent, broker, investment banker, or other Person or firm acting on behalf of the Company or any stockholder thereof, or under the authority thereof, Shareholders of the Company is or will be entitled to any brokers’ broker's or finders’ finder's fee or any other commission or similar fee directly or indirectly from the Company, or any shareholder of the parties hereto Company in connection with any of the transactions contemplated herebyby this Agreement.

Except as set forth disclosed on Schedule 3.294.27, no agent, broker, investment banker, Person or firm acting on behalf of the Company or any stockholder thereofCompany, or under the authority thereof, is or will be entitled to any brokers’ or finders’ fee or any other commission or similar fee directly or indirectly from any of the parties hereto in connection with any of the transactions contemplated hereby.
