Common use of Brokers, Finders, etc Clause in Contracts

Brokers, Finders, etc. Seller states and represents to Purchaser that it has dealt with AirCapital who was acting as Seller’s broker or finder in connection with the transaction contemplated hereby and that AirCapital is entitled to a brokerage fee, financial advisory fee, commission or finder’s fee in connection with this transaction. Purchaser states and represents to Seller that it has dealt with no broker or finder in connection with the transaction contemplated hereby, no broker or Person acting on such a party’s behalf is entitled to any brokerage fee, financial advisory fee, commission or finder’s fee in connection with this transaction. Each of Seller and Purchaser agrees to indemnify and hold harmless the other for, from and against any and all loss, liability, damage, cost, claim or expense (including, without limitation, attorneys’ fees) incurred by reason of any commission, brokerage fee, financial advisory fee or finder’s fee alleged to be payable because of any act, omission or statement of the indemnifying party.
