Common use of Brokers and Finders Clause in Contracts

Brokers and Finders. No Person will have, as a result of the transactions contemplated by the Transaction Documents, any valid right, interest or claim against or upon the Company, any Subsidiary or an Investor for any commission, fee or other compensation pursuant to any agreement, arrangement or understanding entered into by or on behalf of such Investor.

No Person will have, as a result of the transactions contemplated by the Transaction Documentsthis Agreement, any valid right, interest or claim against or upon the Company, any Subsidiary or an Investor for any commission, fee or other compensation pursuant to any agreement, arrangement or understanding entered into by or on behalf of such Investorthe Company, other than a fee payable pursuant to this Agreement for services as a financial advisor.

Brokers and Finders. No Person will have, as a result of actions or omissions of the Company in connection with the transactions contemplated by the Transaction Documents, any valid right, interest or claim against or upon the Company, any Subsidiary or an Investor for any commission, fee or other compensation pursuant to any agreement, arrangement or understanding entered into by or on behalf of such Investorthe Company, other than as described in Schedule 4.21.

No Person person or entity will have, as a result of the transactions contemplated by this Agreement or the Transaction DocumentsCollaboration Agreement, any valid right, interest or claim valid claims against or upon the Company, any Subsidiary Company or an Investor the Purchaser for any commission, fee or other compensation pursuant to as a finder or broker because of any agreement, arrangement act or understanding entered into omission by the Company or on behalf of such Investorits agents.
