Common use of Brokers and Agents Clause in Contracts

Brokers and Agents. Except for IPO Development Company, each of the Stockholders jointly and severally, on the one hand, and RW, on the other, represents and warrants to the other that such Person has not directly or indirectly employed or become obligated to pay any broker, finder or similar agent in connection with the transactions contemplated hereby and agree, without regard to the Threshold Amount limitations set forth in Article IX, to indemnify the other against all Damage Claims arising out of claims for any and all fees and commissions of brokers or similar agents employed or promised payment by such Person.
