Brokers; Agents. Seller has not dealt with any agent, finder, broker or other representative (other than representatives of Buyer) in any manner which could result in Buyer being liable for any finder's, broker's or other fee or commission in connection with the subject matter of this Agreement.

Appointment of each Representative shall be subject to Company's prior approval. Company may require termination of any Representative's authority to sell the Policies. Broker is responsible for the Representatives' compliance with the terms and conditions of this Agreement and for the Representatives being duly licensed pursuant to applicable state and federal laws.
