Neither Rice nor any of its Affiliates has entered, directly or indirectly, into any Contract with any Person that would obligate any member of the Partnership Group to pay any commission, brokerage or “finder’s fee” or other similar fee in connection with this Agreement, the other Transaction Documents or the transactions contemplated hereby or thereby.
