Common use of Broker Clause in Contracts

Broker. No broker, finder or investment banker is entitled to any brokerage or finder's fee or other commission in connection with the transactions contemplated hereby based upon the arrangements made by or on behalf of the Buyer.

No broker, finder finder, investment banker, or investment banker other Person is entitled to any brokerage brokerage, finder’s, financial advisor’s or finder's other similar fee or other commission from the Company in connection with Stockholder tendering the transactions contemplated hereby Subject Securities pursuant hereto based upon the arrangements made by or on behalf of the BuyerStockholder in its capacity as such.

No broker, finder or investment banker is entitled to any brokerage brokerage, finder’s or finder's other fee or other commission in connection with the transactions contemplated hereby by this Agreement based upon the arrangements made by or on behalf of the Buyerany Loan Party or any of its Subsidiaries.

No broker, finder or investment banker is entitled to any brokerage or brokerage, finder's or other fee or other commission in connection with the transactions contemplated hereby by this Agreement based upon the arrangements made by or on behalf of Parent or the BuyerPurchaser, that is or will be payable by the Company or any of its Subsidiaries other than following the occurrence of the Effective Time.

No broker, finder or investment banker is entitled to any brokerage brokerage, finder’s or finder's other fee or other commission in connection with the Merger or the other transactions contemplated hereby by this Agreement based upon the arrangements made by or on behalf of the BuyerParent or Merger Sub.

No broker, finder finder, investment banker, financial adviser or investment banker other person is entitled to any brokerage brokerage, finder’s, investment banker’s or finder's other fee or other commission in connection with the transactions contemplated hereby by this Agreement or the Related Agreements based upon the any arrangements made by or on behalf of the BuyerBuyer or its Affiliates.

No broker, finder or investment banker is entitled to any brokerage or finder's fee or other commission from Seller or Seller's Parent, or to the knowledge of Seller and Seller's Parent, from Buyer, in connection with the transactions contemplated hereby based upon on the arrangements made by or on behalf of the BuyerSeller or Seller's Parent.

No broker, There is no broker or finder or investment banker is other person entitled to any a commission or brokerage or finder's fee or other commission payment in connection with this Agreement or the transactions contemplated hereby based upon as a result of any agreement of or action taken by the arrangements made by or on behalf of the BuyerCompany.

No broker, finder or investment banker is entitled to any brokerage brokerage, finder’s or finder's other fee or other commission payable by Buyer in connection with the transactions contemplated hereby by this Agreement or any of the Related Agreements based upon the arrangements made by or on behalf of the Buyerof, or executed by, Seller.

No broker, finder or investment banker is entitled to any brokerage or brokerage, finder's fee or similar fees or other commission commissions in connection with the transactions contemplated hereby hereby, based upon on the arrangements made by or on behalf of CMJ or the BuyerStockholders.

Broker. No broker, broker or finder or investment banker is entitled to any brokerage or finder's ’s fee or other commission in connection with the transactions contemplated hereby by this Agreement based upon the any arrangements made by or on behalf of the BuyerCompany.

No broker, finder or investment banker is entitled to any brokerage brokerage, finder's, or finder's other fee or other commission in connection with this Agreement or the transactions contemplated hereby Transaction or any related transaction based upon the arrangements any agreements, written or oral, made by or on behalf of Seller or any of its Subsidiaries. The Seller does not have any obligation to pay finder's or broker's fees or commissions in connection with the Buyerexercise of options to renew or extend real estate leases to which the Seller is a party.

No broker, finder finder, investment banker, financial adviser or investment banker other Person is entitled to any brokerage brokerage, finder’s, investment banker’s or finder's other fee or other commission in connection with the transactions contemplated hereby by this Agreement or the Related Agreements based upon the any arrangements made by or on behalf of the BuyerCompany Group or its Affiliates.

No broker, finder or investment banker is entitled to any brokerage or finder's fee finders’ fees or other commission agents’ commissions or investment bankers’ fees or any similar charges from or through Seller in connection with the transactions this Agreement or any transaction contemplated hereby based upon the arrangements made by or on behalf of the Buyer.hereby, other than Evercore Group L.L.C.

No broker, investment banker, financial advisor, finder or investment banker other person, is entitled to any brokerage broker’s, finder’s, financial advisor’s or finder's other similar fee or other commission in connection with the transactions contemplated hereby based upon the pursuant to arrangements made by or on behalf of the Buyer, Acquisition Sub or any Subsidiary or an affiliate of any of them.

No broker, finder or investment banker banker, other than Xxxxxxxxxx, is entitled to any brokerage or finder's ’s fee or other commission from Seller or Member in connection with the transactions contemplated hereby based upon on the arrangements made by or on behalf of the BuyerSeller or Member.

No investment banker, broker, finder or investment banker other intermediary is entitled to any brokerage broker’s, finder’s, financial advisor’s or finder's other similar fee or other commission for which Parent or the Company is or will be liable in connection with the transactions contemplated hereby based upon the arrangements made by or or, to the knowledge of the Stockholders, on behalf of the BuyerStockholders.

No broker, finder or investment banker is entitled to any brokerage brokerage, finder’s or finder's other fee or other commission in connection with the transactions contemplated hereby Merger or the other Transactions based upon the arrangements made by or on behalf of the BuyerParent or Merger Sub.

No broker, finder or investment banker is entitled to any brokerage brokerage, finder’s or finder's other fee or other commission in connection with the transactions contemplated hereby by this Agreement or any other Transaction Document based upon the arrangements made by or on behalf of the Buyer.

Broker. No broker, finder or investment banker is entitled to any brokerage or finder's fee or other commission in connection with the transactions contemplated hereby based upon the arrangements made by or on behalf of the BuyerBuyer or Paradigm.

No broker, investment banker, financial advisor, finder or investment banker other Person, is entitled to any brokerage broker’s, finder’s, financial advisor’s or finder's other similar fee or other commission in connection with the transactions contemplated hereby based upon the pursuant to arrangements made by or on behalf of the BuyerSeller or any Seller Subsidiary or an affiliate of any of them (including Cabot).

Broker. No broker, finder or investment banker is entitled to any brokerage brokerage, finder’s or finder's other fee or other commission in connection with the Merger or other transactions contemplated hereby by this Agreement based upon the arrangements made by or on behalf of the BuyerTHSB.

No broker, finder or investment banker banker, including any director, officer, employee, affiliate or associate of the Seller, is entitled to any brokerage brokerage, finder’s or finder's other fee or other commission in connection with the transactions Transactions contemplated hereby by this Agreement based upon the arrangements made by or on behalf of the BuyerSeller.

Broker. No broker, finder or investment banker is entitled to any brokerage or finder's fee or other commission in connection with the transactions contemplated hereby based upon on the arrangements made by or on behalf of IP or the BuyerSellers.
